International law firm has an immediate opening for a mid-level Corporate Paralegal. The candidate will assist partners and associates in all corporate transactions.
**Considering candidates in either NYC or Boston Office**
Form and maintain business entities: draft and file formation documents, maintain minute books and related data tracking, prepare minutes, prepare foreign qualifications and track and perform other company maintenance functions.
Support acquisition and disposition transactions: prepare corporate certificates and provide appropriate documentation, make required filings, assist with closings, etc.
Maintain: closing document binders, archives of material agreements, letters sent to audit firms, D&O questionnaires for public companies, binder of publicly filed documents, etc.
Assist in preparation of UCC financing statements.
Assist client with annual reports and tax filings as requested by clients
Prepare notices for Regulation D, Rule 506 offerings, blue sky research and filings. NASAA Electronic Filing Depository experience needed.
Prepare Section 16 and stock exchange filings, assist in preparation of annual, quarterly and current reports, etc.
Procure and assemble closing documents, assist with closings, order and organize good standing requests and maintain closing and post-closing files
4+ years of corporate paralegal experience required
Law Firm experience strongly preferred
Bachelor’s degree required
Paralegal certificate appreciated
Excellent inter-personal and communications skills.
Works effectively, calmly and quickly under pressure
Strong technical skills, including word processing, internet and databases
Occasional overtime as needed
